1. Agreement to Terms

By accessing or using RaceHP.ai ("Service," "Platform," or "Website"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and RaceHP.ai ("RaceHP," "we," "our," or "us"), operated by Two Men 13 LLC.

If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

RaceHP.ai is a neural network-powered data analytics platform providing:

• AI-driven analysis of horse racing and motorsports data
• Predictive modeling and statistical probability calculations
• Historical performance tracking and visualization
• Coverage of F1, NASCAR, IndyCar, MotoGP, and global horse racing circuits
• Real-time predictions in 5 languages (English, Spanish, French, Chinese, Arabic)
• API access for integration (Professional and Enterprise tiers)

Our Service is an information tool. We analyze publicly available data and generate statistical predictions. We do not guarantee any outcomes.

3. Eligibility

To use RaceHP.ai, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher)
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Comply with all applicable local, state, national, and international laws

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. User Accounts

When you create an account, you agree to:

• Provide Accurate Information: All registration information must be truthful and current
• Maintain Security: Keep your password confidential and secure
• Accept Responsibility: You are responsible for all activity under your account
• Notify Us: Immediately report any unauthorized access or security breach
• One Account: Maintain only one account per person

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service, servers, or networks
• Use automated tools (bots, scrapers, crawlers) without written permission
• Redistribute, resell, sublicense, or commercially exploit the Service without authorization
• Reverse engineer, decompile, or attempt to extract source code
• Remove or alter any proprietary notices, trademarks, or labels
• Use the Service to develop competing products or services
• Transmit viruses, malware, or harmful code
• Harass, abuse, or harm other users
• Violate any third-party rights (intellectual property, privacy, etc.)

6. Intellectual Property

The Service and all its contents, features, and functionality—including but not limited to software, algorithms, neural network models, designs, text, graphics, logos, and data—are owned by RaceHP.ai and protected by intellectual property laws.

Your License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or internal business purposes.

Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

7. Payments & Subscriptions

7.1 Pricing

Founding Member Pricing: By submitting your email to the RaceHP.ai waitlist, you are eligible for founding member pricing. You have 30 days from the date of your waitlist signup to subscribe and lock in your founding member rate. If you do not subscribe within 30 days, your reserved pricing expires and standard rates apply. Once locked in, your founding member price will never increase for the lifetime of your continuous subscription. Save $50-$200/year forever.

7.2 Billing

• Subscriptions are billed annually in advance
• By subscribing, you authorize recurring charges to your payment method
• Prices are in USD unless otherwise stated
• You are responsible for applicable taxes

7.3 Refunds

• 14-Day Guarantee: New subscribers may request a full refund within 14 days of initial purchase
• After 14 days, subscriptions are non-refundable
• Refund requests: support@racehp.ai

7.4 Cancellation

You may cancel your subscription at any time. Access continues until the end of your billing period. No partial refunds for unused time after 14 days.

8. Disclaimers

8.1 No Gambling Advice

RACEHP.AI PROVIDES DATA ANALYTICS FOR INFORMATIONAL PURPOSES ONLY.

We explicitly DO NOT provide:

• Betting advice, tips, or recommendations
• Guaranteed outcomes or "sure things"
• Financial, investment, or gambling advice
• Encouragement to wager or gamble

Our predictions are statistical probabilities, not certainties. Past performance does not guarantee future results.

8.2 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We specifically disclaim warranties of:

• Merchantability and fitness for a particular purpose
• Accuracy, reliability, or completeness of predictions
• Uninterrupted, secure, or error-free operation
• Results meeting your expectations

8.3 User Responsibility

YOU ARE SOLELY RESPONSIBLE FOR:

• All decisions made based on information from the Service
• Verifying the legality of gambling in your jurisdiction
• Any financial losses from wagering activities
• Your compliance with local laws and regulations
• Gambling responsibly and within your means

8.4 Responsible Gambling

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• RaceHP.ai, Two Men 13 LLC, and their affiliates, officers, directors, employees, agents, and licensors shall NOT be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes loss of profits, data, use, goodwill, or other intangible losses
• We are NOT liable for damages resulting from your use or inability to use the Service
• We are NOT liable for any losses from gambling or wagering activities
• Our total aggregate liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless RaceHP.ai, Two Men 13 LLC, and their affiliates, officers, directors, employees, agents, and licensors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your gambling, wagering, or betting activities
• Any content you submit or transmit through the Service

11. Termination

By Us: We may suspend or terminate your account and access immediately, without prior notice, for:

• Violation of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Non-payment of fees
• Extended periods of inactivity
• Any reason at our sole discretion

By You: You may terminate your account at any time by contacting support.

Effect of Termination: Upon termination, your right to use the Service ceases immediately. We may delete your account and data. Provisions that should survive termination (limitations of liability, indemnification, dispute resolution) will survive.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

12.2 Arbitration Agreement

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in Fort Worth, Texas.

12.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATIONS.

12.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.

13. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the complete agreement between you and RaceHP.ai
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect
• Waiver: Our failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms; we may assign them freely
• Modifications: We may modify these Terms at any time. Continued use constitutes acceptance
• Force Majeure: We are not liable for delays caused by circumstances beyond our reasonable control
• Notices: We may send notices via email or by posting on the Service
